PIF-led consortium completes $55bn acquisition of games publisher EA

Riyadh - Sharikat Mubasher: An investor consortium comprised of the Saudi Public Investment Fund (PIF), Silver Lake, and Affinity Partners completed the acquisition of Electronic Arts, the global games publisher and digital interactive entertainment leader, in a $55 billion deal.

With the transaction complete, EA stockholders will receive $210 in cash for each share of EA common stock they owned as of the closing, the company revealed in a statement yesterday.

The PIF-led consortium signed a definitive agreement to acquire EA in September 2025, which was approved by EA shareholders in December 2025.

Commenting on this milestone, Turqi Alnowaiser, Deputy Governor and Head of International Investments at PIF, said: “Having been a minority investor in the company for more than five years, we have a deep understanding of EA’s unique platform, massive global sports and gaming franchises, and iconic IP. Entertainment and sports are key areas of strategic focus for PIF, and are among the fastest-growing and evolving sectors around the world. Together, the consortium is uniquely positioned to be a long-term partner to EA’s management team in driving sustained growth and innovation for EA and the industry.”

For his part, Andrew Wilson, Chairman and CEO of Electronic Arts, stated: “We are entering this next chapter from a position of strength with partners who share our vision and ambition. Together, we'll invest boldly, accelerate innovation, and build the next generation of games and experiences for the hundreds of millions of players and fans who inspire us every day."

It should be mentioned that Goldman Sachs & Co. served as EA’s financial advisor and Wachtell, Lipton, Rosen & Katz served as EA’s legal advisor. Kirkland & Ellis served as legal counsel to the consortium and as lead legal counsel to PIF, with Gibson, Dunn & Crutcher LLP and White & Case LLP providing specialized counsel.
